Z Studio – Terms & Conditions

These Terms & Conditions (“Agreement”) govern all services provided by Z Studio (“we”, “us”, “our”) to any client (“you”, “your”). By engaging our services, you agree to be bound by these Terms.
1. Services
Z Studio provides creative and technical services, including but not limited to:
- 2D Animation
- 3D Animation
- Whiteboard Animation
- Graphic Design
- Video Advertisements
- Virtual Reality (VR) and Augmented Reality (AR) Experiences
- Edutainment Content Creation
- 3D Modelling and Visualisation
We may update or expand our services at any time.
2. Engagement of Services
- A project will commence only once a written agreement or purchase order has been confirmed by both parties.
- Project timelines, deliverables, and milestones will be set out in writing before work begins.
- Any changes to the scope of work must be agreed in writing and may affect cost and timeline.
3. Deposits & Payments
3.1 Deposits
- A deposit of [insert % e.g., 30–50%] of the total project fee is required prior to commencement.
- Deposits are non-refundable in all circumstances, except where Z Studio agrees in writing and a valid reason exists (see §6).
- Deposits are non-transferable between projects or clients.
3.2 Balances & Progress Payments
- Remaining balances and milestone payments must be paid as agreed in writing.
- Final payment is due upon delivery of the agreed milestone or final deliverable, whichever occurs first.
- We reserve the right to suspend work and withhold deliverables until outstanding invoices are settled.
4. Client Obligations
You agree to:
- Provide all necessary information, assets, and approvals in a timely manner.
- Respond to communications and feedback requests without unreasonable delay.
- Ensure all supplied materials do not infringe third-party rights.
Failure to comply may result in project delays, additional charges, or termination of the project.
5. Outsourcing & Third-Party Providers
- Z Studio may outsource portions of your project to trusted freelancers, contractors, or service providers in the UK or internationally.
- All outsourcing partners are contractually required to follow our data protection and confidentiality standards.
- Costs incurred for third-party providers (e.g., voiceover artists, software, stock footage, motion-capture) are non-refundable once committed.
6. Refunds & Cancellations
6.1 General Rule
- No refunds will be issued for deposits, progress payments, or balances unless:
(a) Z Studio agrees in writing; and
(b) a valid reason exists.
6.2 Valid Reasons (Examples)
- Material breach by Z Studio that deprives you of contracted services and is not remedied.
- Objective impossibility of performance caused by Z Studio.
- Refund required under applicable UK law (statutory rights remain unaffected).
6.3 Invalid Reasons (Examples)
Refunds will not be granted for:
- Change of mind or budget cuts.
- Delays caused by your failure to provide information, approvals, or assets.
- Preference-based rejections after approval of concepts, storyboards, or milestones.
- Engaging another provider mid-project without our written consent.
6.4 Partial Refunds (Discretionary)
If a refund is approved, it may only be partial and subject to:
- Deduction for completed work to date,
- Third-party/outsourcing costs,
- Administrative and project management fees.
6.5 Cancellation by Z Studio
We may cancel a project if:
- You fail to pay invoices,
- You breach this Agreement,
- Circumstances arise making delivery impractical.
In such cases, you will remain liable for all work completed and committed third-party costs.
7. Intellectual Property
- Full ownership of final deliverables passes to you only upon full and final payment.
- Until then, all work remains the property of Z Studio.
- We reserve the right to showcase completed projects (excluding confidential work) in our portfolio, showreel, and marketing materials.
8. Confidentiality & Data Protection
- Both parties agree to keep confidential any proprietary or sensitive information exchanged during the project.
- We process personal data in accordance with the UK GDPR and our Privacy Policy.
9. Liability
- Z Studio shall not be liable for indirect, incidental, or consequential losses (including lost profits or opportunities).
- Our liability is capped at the total fees paid by you for the specific project.
- Nothing in this Agreement excludes liability for death, personal injury, or fraud caused by our negligence.
10. Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, labour disputes, power outages, or internet service interruptions.
11. Governing Law & Jurisdiction
- This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
- Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
